2. Description of Service

AngelBrief provides an AI-powered research and portfolio monitoring platform designed for angel investors. The Service includes company intelligence reports, portfolio tracking, automated alerts, and related tools (collectively, the "Service").

3. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By using AngelBrief, you represent that you meet these requirements.

4. Account Registration

You agree to provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at legal@angelbrief.com if you suspect unauthorized access.

5. Subscription Plans and Payment

AngelBrief offers paid subscription plans (Essential, Pro, and Elite). By subscribing, you authorize us to charge your payment method on a recurring monthly basis. Subscriptions automatically renew unless cancelled before the next billing cycle. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.

The information provided by AngelBrief is for informational purposes only and does not constitute financial, investment, legal, or tax advice. AngelBrief is not a registered investment adviser, broker-dealer, or financial planner. You should consult with qualified professionals before making any investment decisions. AngelBrief makes no representations or warranties regarding the accuracy, completeness, or timeliness of any information provided through the Service.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Redistribute, resell, or commercially exploit any data or intelligence reports from the Service without written permission
• Attempt to scrape, crawl, or systematically extract data from the Service
• Impersonate any person or entity, or misrepresent your affiliation
• Interfere with or disrupt the security, integrity, or performance of the Service
• Use the Service to engage in market manipulation or any fraudulent activity

8. Intellectual Property

All content, features, data, and functionality of the Service — including but not limited to AI-generated reports, software, text, graphics, and logos — are owned by AngelBrief or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial investment research purposes.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using AngelBrief, you consent to the collection and use of your information as described in the Privacy Policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ANGELBRIEF DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANGELBRIEF AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ANGELBRIEF'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO ANGELBRIEF IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless AngelBrief and its affiliates, officers, and employees from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.

14. Termination

AngelBrief may suspend or terminate your account at any time, with or without cause or notice, including for violation of these Terms. You may cancel your subscription at any time through your account settings. Upon termination, your right to access the Service will immediately cease.

15. Modifications to Terms

AngelBrief reserves the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new effective date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Nevada.
